Organization of the commercial, documentary and procedural framework required for each transaction, according to product, origin, seller and buyer profile.

KaizenGTC supports the structuring of international transactions by organizing the commercial, documentary and procedural framework required for each operation.

Depending on the product, origin, seller procedure and buyer profile, this process may include alignment of Incoterms such as CIF or FOB, payment structures, confidentiality and non-circumvention agreements, negotiation sequence and documentation required at each stage.

In preliminary quotation scenarios, the process may begin with an LOI and CIS, enabling the seller to issue an SCO. In more advanced negotiations, the buyer may be required to provide an ICPO, CIS/KYC and POF before receiving an FCO.

Once commercial terms are aligned, the transaction may progress to SPA review, bank-to-bank procedures, POP, inspections such as SGS and payment instruments such as SBLC or DLC, always subject to the specific requirements of the seller, buyer and financial institutions involved.

In fuel and energy transactions, KaizenGTC also supports the review of CIF and FOB structures, including common operational modalities such as TTT Tank-to-Tank, TTO Tank Take Over, TTV Tank-to-Vessel and VTV Vessel-to-Vessel, depending on the supplier’s operating model.

Our legal and documentary support team reviews information submitted by buyers, sellers and mandates to identify inconsistencies, clarify requirements and help both sides operate within a safer, more orderly and professional framework.

When the nature of a transaction requires it, we work with confidentiality and non-circumvention agreements such as NCNDAs, designed to protect shared commercial information, preserve introduced relationships and establish a framework of trust among buyers, sellers, mandates and intermediaries.

This process is particularly relevant before issuing, signing or exchanging sensitive documentation, including corporate profiles, financial capability documents, commercial offers, contract drafts, banking instructions or documents linked to proof of product.

The objective is to create an operating environment in which buyer and seller can advance with greater clarity, confidence and execution discipline, minimizing friction and strengthening transaction reliability.
